Terms of contract
1. Jurisdiction
These terms and conditions of the NOIA Pure Trust, 8 The Green, Suite H, Dover, DE 19901, hereinafter referred to as «Noia» or «sublicensor», shall apply as the basis for any contractual relationship, any contact, any connection, with the sublicensor, affiliated trusts and companies, as well as their trustees, directors and employees, their services, servers, the website with the domain «noiapuretrust. com», any data sent from the server whatsoever, of whatever nature and any visitor/user of the website, any person and/ or property managed by Noia Pure Trust, their issuers, trustees, agents, beneficiaries, whatsoever, of whatever kind and whatsoever nature, hereinafter referred to as «contractors» or «sublicensees».
2. Applicable law
The Parties agree that this Agreement shall be governed by the common law of the united states of America, of the year 1776. Roman law shall not apply, except in the individual cases mentioned afterwards. The Parties hereby mutually agree to abandon the application of Roman law of any kind and from any geographic area, with the reservation to specific individual cases, which are one-sidedly determined by the Board of Trustees through its resolutions. All applications of this Agreement under the common law are expressly prohibited from being reinterpreted into Roman law under penalty of $500 million.
3. Court of Jurisdiction
The Parties agree that only the common law courts of the State of Delaware, and the High Court of Philadelphia, in its capacity as a common law court, shall have jurisdiction in all matters relating to this Agreement. The Parties agree to mutually expressly and irrevocably abandon all courts applying Roman law.
In the event that either Party, in breach of this Agreement, contacts any court acting under Roman law with respect to this Agreement, the breaching Party shall automatically assume all legal costs, penalties, court costs, whatever, plus a penalty of at least $500 million.
4. Mediation procedure
The contracting parties agree that in all disputes the mediation procedure shall be applied before any of the contractually agreed courts are seized.
The mediation procedure rules shall apply.
5. Sublicensees with complex additional contracts
For owners, holders, trustees, directors, employees and/or beneficiaries of faith communities, churches, government agencies, administrations, military, intelligence agencies, media and/or other legal entities, their contractors, whether substantial, private and/or public in nature, whether direct or indirect, the following additional provisions apply:
The sublicensee, who is in complex additional contracts according to point 6, hereby irrevocably declares under oath to abandon all rights, privileges, insurances, bonds, any status whatsoever given to him/her or his/her person, regarding to this Common Law Contract.
This declaration under oath supersedes any previously given oath, declaration, assurance, whatever.
Sublicensee hereby declares under oath not to disclose, transfer, whatsoever, any data, information, etc., arising out of this contractual relationship, or obtained through this contractual relationship.
The Sublicensee hereby declares under oath to be fully liable for any breach of the Agreement itself and privately in the said common law courts and to abandon any right, privilege, protection, whether legal, electronic, physical, whatever, given to him/her by any other contractual relationship and hereby subdues him / her to the Agreement, its terms and conditions and the courts mentioned in the Agreement.
The sublicensee hereby declares, under oath, also to assume full liability for third parties and damages caused by third parties, which occurred in the event of breach of contract, e.g. by passing on or forwarding, making available, whatever. Whether the damage is caused to Noia, related trusts and / or companies, their trustees, directors, employees, beneficiaries, products, whatever, or other sublicensees.
The sublicensee, which is under complex additional contracts, hereby declares under oath, expressly and irrevocably that Noia may disclose and use any data obtained from the sublicensee to military, intelligence or other third parties for verification or other uses whatsoever.
6. Website
a) Public side of the Website
Public Side of the Website means content, that can be viewed without registration and login.
b) Private side of the Website
Private side of the website means content, that can be viewed only after registration and login.
c) Public and private side of the website
By accessing the website, the sublicensee expressly and irrevocably agrees to the current version of the contractual terms and conditions and their appendices. He also expressly and irrevocably confirms that he has read and understood the contractual provisions and their appendix agreements.
d) Registration
Contractual partners can register free of charge on the domain noiapuretrust.com to get access to the private contents of the website, provided that this service is activated. There is no right to a registered account.
When registering, the contracting party has to provide an email address only accessible to him, as well as a fantasy name freely invented by him.
Noia stores the IP of the sublicensee and, if necessary, further data in order to be able to trace the contractual relationship to the sublicensee.
The sublicensee agrees that he is the contract holder over the network connection of the assigned IP.
Noia may obtain information about the holder of the IP from e.g. telecommunication authorities in case of suspected breach of contract in order to assert the claims.
Noia is authorized, in case of suspected breach of contract, by the breaching party to obtain all necessary information to assert claims.
e) Account & Access Data
By registering, an account is automatically created on the servers of the noiapuretrust.com website, which can be used to manage and view content, services and / or sublicenses.
The sublicensee must keep the access data absolutely confidential, secret and prevent any kind of disclosure. Sharing within the immediate family is allowed. Direct family is considered to be husband/wife and their offspring.
Access to the account is limited to one IP per day. If more than one IP per day accesses the account, the account will be automatically blocked.
The sublicensee can access free content after registration, which can be adjusted from time to time. There are no monthly charges, etc., as long as the sublicensee does not explicitly make such an offer and process it through the website.
f) Services
The respective appendix contracts and powers of attorney apply to the provision of services.
7. Termination of the account, contract
Upon termination, the sublicensee fully abandons all claims and any associated services that may exist.
Termination does not release either party from any claims arising from breach of contract. The preservation of the copyrights/sublicense rights and provisions of the Agreement shall continue to apply for an unlimited period of time after termination or revocation.
In case of non-contractual transfer of the access data or the content, sublicenses and/or media obtained through this contract, Noia may close and/or terminate the account with immediate effect. The sublicensee must be notified of the termination/closure and the reason via email. Upon notification of termination/closure, the Sublicensee shall automatically loose all rights to the Sublicenses stored in the Account.
The preservation of copyrights and provisions of the Agreement shall continue to apply for an unlimited period after termination or revocation.
8. Technical requirements
The Sublicensee may access the Content via technical devices. The sublicensee is responsible for the necessary devices and their functionality.
9. Use of contents
The contents of Noia are optimized to be accessed with a computer. A claim to use with other devices does not exist.
Noia is always trying to keep the website online and up to date. However, there is no guarantee to be able to access the content around the clock from anywhere in the world.
Noia may temporarily take the website offline at any time for maintenance or to protect it from hacker attacks.
10. Offer and Acceptance
a) By accessing the website noiapuretrust.com and during registration, the sublicensee makes an offer to grant a free sublicense for the salvation of the sublicensee’s soul. Noia silently accepts this offer.
By submitting the offer, the sublicensee expressly and irrevocably abandon the right of revocation regarding the offer.
b) After registration, the Sublicensee makes an offer to exchange and cede to Noia, by pressing the «add to card» button, for the grant of a sublicense for the salvation of the Sublicensee’s soul. Noia accepts this offer, by sending an explicit declaration of acceptance via email.
By making the offer, the sublicensee expressly and irrevocably abandons the right to revoke with respect to the offer, the exchange and the assignment of the payment.
11. Payments
All payments to Noia or affiliated trusts and corporations constitute exchanges and assignments.
12. Data
In all matters relating to data, the «Data Protection Agreement», as amended, shall apply.
13. Contractually excluded activities
a) The contracting parties agree that access to the private part of the website, the servers, whatever, may only take place through the contractually authorized processes of registration and login. Any other kind of access shall be deemed excluded under penalty of 500 million USD.
b) The website, the server or their accesses may not be used for infiltrating harmful and / or spying software. Sent data may not be intercepted, recorded, whatever. In case of breach of contract a penalty of 500 million USD applies.
c) Contact access via e-mails and forms may not be used for spam, advertising and / or bait offers.
d) In the event that the website provides a comment function, these functions may not be used to post offensive, vulgar or dishonorable comments, media, content, whatever.
e) By posting content, the sublicensee guarantees that he/she owns the copyrights to said content and indemnifies Noia from any third party liability claims.
14. Age restriction
Access to the website is only permitted from a minimum age of 16 years.
15. Contract changes
Noia may unilaterally change the terms of the contract at any time and without notice.
Noia has the right to subcontract and/or outsource services, activities, licenses, whatever, to affiliated trusts and companies.
16. Disclaimer
The services, sublicenses, whatever, provided by Noia are made to the best of its knowledge and belief and in good faith.
Sublicensee hereby expressly and irrevocably releases Noia, related trusts, corporations and their trustees, directors, employees and beneficiaries from all liability.
17. Sovereignty of interpretation
Noia shall have absolute interpretive authority over this Agreement and all of the components, excerpts and words used herein.
18. Preservation clause
In the event that any part of this contract is declared invalid by one of the courts mentioned in the contract, this part must be replaced by a provision that comes as close as possible to the invalid part.
